HYPH STEM MARKETPLACE TERMS

HYPH IRELAND LIMITED (Hyph)

These Stem Marketplace Terms govern your purchase, download, and use of audio stems, loops, MIDI files, vocal stems, and related audio components (Stems) made available through Hyph.

These Terms supplement Hyph’s general Terms of Service as published from time to time on at https://www.hyph.com. In case of conflict, these Terms control with respect to Stems.

1. Ownership of Stems

All Stems made available in the Hyph Marketplace are:

  • 100% owned by Hyph or its controlled entities

  • Created under work-for-hire agreements

  • Not licensed from third-party labels or publishers

Stems are licensed by Hyph, not sold. Hyph represents that all Stems are original works created under work-for-hire and that Hyph has full authority to license the use of the Stems.
Hyph retains all right, title, and interest in and to the original Stem files.

2. License Grant

Subject to compliance with these Stem Marketplace Terms (and as otherwise provided below), and an active paid subscription (unless otherwise stated):

Hyph grants you a non-exclusive, non-transferable, worldwide license to:

  • Download Stems

  • Export Stems to third-party DAWs

  • Modify, edit, arrange, and process Stems

  • Combine Stems with other sounds

  • Create new sound recordings (New Recordings)

  • Distribute and monetize New Recordings commercially

You own your original contributions in your New Recordings.

You do not own the underlying Stems.

3. Hybrid Access Model

Hyph may offer Stems through:

  • Subscription access

  • Credit-based redemption

  • Individual purchases

  • Bundled packs

License scope is defined at time of acquisition.

4. Strict Prohibitions

You may NOT:

  1. Resell, sublicense, redistribute, or share Stems in isolation.

  2. Upload Stems to any other sample marketplace.

  3. Create derivative sample packs.

  4. Offer Stems as downloadable content.

  5. Extract Stems from other users’ works.

  6. Claim authorship of the original Stem.

  7. Use Stems in a way competitive to Hyph.

  8. Transfer your license to another person or entity.

Resale is strictly prohibited.

5. AI & Machine Learning Restriction

Hyph Stems may NOT be:

  • Used as train machine learning or AI systems in any capacity

  • Uploaded to datasets for model training

  • Used to build sound replication systems

This restriction survives termination of your account.

6. Fingerprinting & Enforcement

All Stems are digitally fingerprinted and traceable.

Hyph reserves the right to:

  • Monitor unauthorized redistribution

  • Enforce rights via The Digital Millennium Copyright Act 1998 (DMCA) or any equivalent or any other legal action anywhere in the world

  • Suspend or terminate accounts for misuse

Unauthorized resale or redistribution may result in permanent account termination and legal liability.  By purchasing a license to use a Stem you undertake to indemnify Hyph against all loss costs expenses claims or damages it incurs arising from your unauthorized use of any Stems.

7. No Revenue Share

Hyph does not:

  • Take ownership of your masters

  • Claim publishing rights

  • Require revenue share on New Recordings

You retain 100% of your original composition and master rights, subject to the underlying Stem license.

8. Warranties & Representations

You represent warrant and undertake to Hyph that:

  • You will not misuse the Stems.

  • You will comply with all applicable laws.

  • You will not attempt to circumvent fingerprinting or tracking systems.

9. Termination

If you breach these Terms:

Hyph may:

  • Suspend your account

  • Terminate your license

  • Revoke access to the Marketplace

  • Pursue legal remedies

Upon termination:

  • You must cease any new use of Stems.

  • Previously distributed works remain licensed if compliant.

10. Disclaimer

Stems are provided as is.

Hyph does not guarantee:

  • Commercial success

  • Uniqueness of creative outcome

  • DSP approval

  • Revenue generation

11. Limitation of Liability

To the fullest extent permitted by law:

Hyph’s total liability is limited to the amount paid by you for the relevant Stem or subscription during the preceding six months.

Hyph is not liable for indirect, incidental, or consequential damages.

12. Arbitration & Governing Law

These Terms and the relationship between you and Us (whether contractual or otherwise) shall be governed by and construed in accordance with the laws of the Republic of Ireland.

If you are a consumer, you will benefit from any mandatory provisions of the law in your country of residence. Nothing in this paragraph 12 above takes away or reduces your rights as a consumer to rely on those provisions.   If you are a consumer, any dispute, controversy, proceedings or claim between you and Us relating to these Terms and Conditions, or the relationship between you and Us (whether contractual or otherwise) shall be subject to the jurisdiction of the courts of Ireland.

If you are a business, any disputes concerning these Terms, the relationship between you and Us, or any matters arising therefrom or associated therewith (whether contractual or otherwise) shall be subject to the exclusive jurisdiction of the courts of Ireland.
