PROMOTIONAL LICENSING AGREEMENT

This Promotional Licensing Agreement (“Agreement”) is entered into by and between:

Hyph Ireland Limited, Unit LG03, Block L, Vantage Centra Park, Leopardstown, Dublin 18, Ireland (“Licensee” or “Hyph”), and the party accepting these terms (“Licensor”),

together referred to as the “Parties.”

If Licensor also accesses the Hyph app or website, this Agreement supplements the then-current Hyph Platform Terms. If a conflict arises between those terms and this Agreement, this Agreement prevails.

1. Purpose

‍This Agreement grants Hyph a limited promotional license to use the master recording(s) and underlying composition(s) owned or controlled by Licensor for the specific track(s) and related materials that Licensor selects, uploads, or otherwise makes available to Hyph through the Hyph submission process (the “Submission”).

Together, these materials constitute the Licensed Master Recording under this Agreement.

2. Definition of Licensed Materials

“Licensed Master Recording” means the full sound recording identified by Licensor as described in Section 1, including:

  • all vocal and instrumental elements

  • all stems delivered or extracted by Hyph

  • any artwork provided

  • the underlying musical composition(s)

  • all metadata required for ingestion

Hyph may create stems, splits, edits, templates, and derivative versions strictly for promotional use.

3. Grant of Promotional License

Licensor grants Hyph a non-exclusive, worldwide, royalty-free license during the Term to:

  • reproduce the Licensed Master Recording

  • distribute it within the Platform

  • publicly perform or display it

  • adapt, edit, remix, transform, and create derivative works

  • generate stems, splits, templates, and remix structures

  • use it across Hyph-owned channels for promotional purposes

Permitted usage includes:

  • remix challenges

  • fan co-creation

  • artist marketing

  • editorial, social, and promotional content related to the activation

No commercial exploitation rights are granted.

4. Term

The Promotional License is valid for 90 days from the Effective Date.

For purposes of this Agreement, the “Effective Date” is the date and time the Licensed Master Recording is first made available on the Hyph Platform as part of the applicable activation (for example, when Licensor presses “Go Live” or otherwise enables the activation in-product). If the Licensed Master Recording is never made available on the Platform, the Term does not begin.

At the end of the Term, the Parties may:

  • renew for one additional 90-day period,

  • enter into a separate commercial license, or

  • allow the license to expire automatically.

Hyph will remove the Licensed Master Recording from public access within 10 days of expiry.

5. Usage Restrictions

‍Hyph may only use the Licensed Master Recording for non-commercial promotional purposes, including fan co-creation, remix challenges, and editorial content.

Hyph may not:

  • commercially release the recording,

  • distribute it to DSPs,

  • monetize it inside or outside Hyph,

  • enable paid downloads, in-app purchases, or royalties.

Any monetized use requires a separate commercial licensing agreement.

6. Ownership

Licensor retains full ownership of:

  • the Licensed Master Recording

  • all underlying compositions and publishing rights

  • all artwork provided

  • all related copyrights

Hyph retains ownership of:

  • Hyph Content (templates, stems, formats)

  • all Platform IP and technology

No ownership is transferred.

7. Representations & Warranties

Licensor warrants that:

  • it owns or controls all rights necessary to grant this license,

  • all writers, publishers, featured artists, and contributors required to approve this promotional use have approved this promotional use,

  • this Agreement does not infringe any third-party rights.

Hyph does not guarantee any level of promotion, reach, or performance.

8. Governing Law & Jurisdiction

This Agreement is governed by the laws of Ireland.

Any disputes are subject to the exclusive jurisdiction of the Irish courts.

9. Materials Provided by Licensor

The following materials were supplied by Licensor through the Hyph submission form and form part of the Licensed Materials:

  • Original Master File

  • Acapella (if provided)

  • Artwork

  • Canvas Video (if provided)

  • Profile Image (if provided)

10. Acceptance

By accepting the Terms under this form, Licensor acknowledges and agrees to all terms of this Agreement.
